Terms and Conditions of Use of Services and Products on SpiderHoster Ltd. Update of 11/4/2021 These terms of use (the Contract) constitute a contract between spiderhoster.com, (“SpiderHoster” or “we” or “our”) and you (“User, subscriber” or “you ”Or“ your ”). This agreement sets out the terms and conditions for your use of the products and services made available by SpiderHoster.co.uk and the spiderhoster.com site (collectively, the “Services”). By using the Services, you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the services.

Eligibility for Accounts

By registering or using the Services, you represent and warrant that:

i. You are over eighteen (18) years of age. The Services are intended only for users who are eighteen (18) years of age or older. Any registration, use or access to the Services, by any person under the age of eighteen (18) is not permitted. and constitutes a violation of this Agreement.

ii. If you are using the Services on behalf of someone other than yourself, you agree that you are authorized to bind any other party to this agreement and to act on behalf of that other party with respect to any actions you take in liaison with services.

It is your responsibility to provide accurate, current, and complete information on registration forms, including an email address that is different from the domain you are signing under. If there is ever an abuse issue and we need to contact you, we will use the primary email address we have on file. It is your responsibility to ensure that your account contact information, including domain accounts, is accurate, correct, and complete at all times. SpiderHoster is not responsible for any failure in the services, including, without limitation, any domain registrations that have expired due to up-to-date contact information being associated with the domain. If you need to verify or change your contact information, please contact our sales team by email or update your contact information using your SpiderHoster billing account, or use the Support System. Providing false contact information of any type may result in termination of your account. In dedicated server purchases or certain other cases, you may be required to provide a government issued ID and possibly a scan of the credit card used for verification purposes. Failure to provide the requested information may result in a refusal to validate your order. Providing false contact details of any type may result in termination of your account. In dedicated server purchases or certain other cases, you may be required to provide a government issued ID and possibly a scan of the credit card used for verification purposes. Failure to provide the requested information may result in a refusal to validate your order. Providing false contact details of any type may result in termination of your account. In dedicated server purchases or certain other cases, you may be required to provide a government issued ID and possibly a scan of the credit card used for verification purposes. Failure to provide the requested information may result in a refusal to validate your order.

You agree to be fully responsible for all use of your account and for all actions that take place in your account. It is your responsibility to maintain the confidentiality of your password and other information relating to the security of your account. Any dedicated IP order, in addition to those supplied with a hosting package may be subject to IP justification. IP justification practices are subject to change to remain in compliance with the policies of the American Registry for Internet Numbers (ARIN). We reserve the right to refuse any dedicated IP request based on insufficient justification or use of applicable intellectual property.

Transfers

Our team will do everything possible to help you move your site to us. Transfers are provided as a courtesy service. We make no guarantees regarding the availability, possibility or time required to complete an account transfer. Each hosting company is configured differently, and some hosting platforms save data in an incompatible or proprietary format, which can make it extremely difficult, if not impossible, to migrate all or part of the account data. In some cases, we may not be able to assist you with transferring data from an old host. The free transfer service is available for thirty (30) days from the date of your registration. A transfer outside the thirty (30) days will incur a charge; please contact a member of our transfer service to receive a quote. Under no circumstances is SpiderHoster responsible for any lost or missing data or files resulting from a transfer. You are solely responsible for backing up your data under all circumstances. SpiderHoster Content except User Content (as defined below), all content available through the Services, including designs, text, graphics, images, video, information, software, audio and other files, and their selection and arrangement, and all software used to provide the Services (collectively, “SpiderHoster Content”), are the exclusive property of SpiderHoster or SpiderHoster’s licensors. Under no circumstances is SpiderHoster responsible for any lost or missing data or files resulting from a transfer. SpiderHoster content may not be modified, copied, distributed, framed, reproduced, republished, uploaded, truncated, displayed, transmitted, sold or exploited for any purpose in any form or by any means, in whole or in part, other than that expressly authorized by this Agreement. You may not, directly or indirectly, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or other trade secrets of any SpiderHoster content. Any use of SpiderHoster Content, other than as specifically authorized herein, is prohibited and will automatically terminate your rights to use the SpiderHoster Services and Content. All rights to use SpiderHoster content not expressly granted in this Agreement are reserved by SpiderHoster and the SpiderHoster licensors. User content.

You may be able to download, store, publish, display and distribute information, text, photos, videos and other content on or through the Services (collectively, “User Content”). User Content includes any content posted by you or by users of any of your websites hosted by the Services (“User Websites”). You are solely responsible for all User Content and transactions or other activities conducted on or through User websites. By posting or distributing User Content on or through the Services, you represent and warrant to SpiderHoster that (i) you have all the rights necessary to post or distribute such User Content,

For the sole purpose of providing the Services, you grant SpiderHoster free, non-exclusive worldwide right and permission to: (i) use, reproduce, publicly perform, publicly display, modify, translate, extract ( in whole or in part), publish and distribute User Content; and (ii) archive or back up copies of User Content and User Websites. Except for the rights expressly granted herein, SpiderHoster does not acquire any right, title or interest in or over User Content, which shall remain solely with you.

SpiderHoster has no control over, and accepts no responsibility for, user content or the content of any information passing through SpiderHoster’s computers, network hubs and points of presence or the Internet. SpiderHoster does not monitor User Content. However, you acknowledge and agree that SpiderHoster may, but is not obligated to immediately take corrective action in SpiderHoster’s sole discretion, including, without removing the limitation on all or part of User Content or User Sites, and suspend or terminate any services without refund if you violate the terms of this Agreement. You hereby agree that SpiderHoster assumes no responsibility for any corrective action SpiderHoster may take.

Third Party Products and Services

Third party providers

SpiderHoster may offer certain third party products and services. These products and services may be subject to terms and conditions of the third party provider. Discounts, promotions and special offers from third parties may be subject to additional restrictions and limitations by the third party provider. You should confirm the terms of any purchase and use of goods or services with the specific vendor with whom you are dealing.

SpiderHoster makes no representations or warranties regarding, and is not responsible for, the quality, availability, timeliness or goods or services provided by a third party provider. You enter into all transactions with these third party suppliers at your own risk. We do not guarantee the accuracy or completeness of any information regarding third party providers. SpiderHoster is not your agent, representative, administrator or trustee or that of the third-party supplier in any transaction.

SpiderHoster as Reseller or Licensor

SpiderHoster may act as a reseller or licensor of certain third party services, hardware, software and equipment used in connection with the services (“Non-SpiderHoster Products”). SpiderHoster will not be responsible for any changes in the Services caused by non-SpiderHoster products, which require modification or alteration, or affect the performance of the Services. Any malfunction or manufacturing defects in non-SpiderHoster products, either sold, licensed or provided by SpiderHoster, will not be considered a violation of SpiderHoster’s obligations under this Agreement. Any rights or remedies that you may have regarding ownership, licenses, Non-SpiderHoster product performance or compliance are limited to the rights extended to you by the manufacturer of that non-SpiderHoster product. You have the right to use any non-SpiderHoster product provided by SpiderHoster only in connection with your use of the Services as provided in this Agreement. No attempt to copy, modify, dissociate or alter any such non-SpiderHoster product or use it other than as part of the Services.You must not resell, transfer, export or re-export any non-SpiderHoster product, or technical data that result, in violation of any applicable law, rules and regulations. You have the right to use any non-SpiderHoster product provided by SpiderHoster only in connection with your use of the Services as provided in this Agreement. No attempt to copy, modify, dissociate or alter any such non-SpiderHoster product or use it other than as part of the Services.You must not resell, transfer, export or re-export any non-SpiderHoster product, or technical data that result, in violation of any applicable law, rules and regulations. You have the right to use any non-SpiderHoster product provided by SpiderHoster only in connection with your use of the Services as provided for in this Agreement. No attempt to copy, modify, dissociate or alter any such non-SpiderHoster product or use it other than as part of the Services.You must not resell, transfer, export or re-export any non-SpiderHoster product, or technical data that result, in violation of any applicable law, rules and regulations.

Third Party Websites

The Services may contain links to other sites that are not owned or controlled by SpiderHoster (“Third Party Sites”), as well as articles, photographs, text, graphics, photos, designs, sounds, videos, information, and more. ‘other content or material belonging to or originating from third parties (“Third Party Content”). We are not responsible for any Third Party Sites or third party content accessible through the Services. Third party websites and third party content are not reviewed, checked or verified for accuracy, relevance or completeness by us. If you decide to access any third party sites or access or use any third party content, you do so at your own risk and you should be aware that our terms and policies no longer apply. You should review the conditions and policies, including the privacy and practical data collection of any site you navigate to from the applicable third party. Prohibited persons (Countries, entities and individuals). The regulations on sanctioned countries can come into force at any time. SpiderHoster Security Account and Systems. It is your responsibility to ensure that scripts / programs installed on your account are secure and directory permissions are set correctly, regardless of the installation method. When possible, set permissions on most directories to 755 or as restrictive as possible. Users are responsible for all actions taken under their account. This includes the trade-off of powers such as username and password. You must use a secure password. If a weak password is used, your account may be suspended until you agree to use a more secure password. Audits can be performed to prevent weak passwords from being used. If a verification is performed and your password is found to be weak, we will notify you and allow time for you to change or update your password before suspending your account. Services, including all related hardware, networks and network devices are provided for authorized sale only. SpiderHoster may, but is not obligated to, monitor our systems, including, without limitation, to ensure that use is authorized, to facilitate protection against unauthorized access, and to verify safety procedures, survival and operational safety. During surveillance, information can be reviewed, recorded, copied and used for authorized purposes. By using the Services, you consent to monitoring for these purposes.

Any account that has connected to a third party network or system without the third party’s authorization is subject to suspension or deletion without notice. Access to networks or systems outside your direct control requires the express written permission of the third party. SpiderHoster may, at our discretion, request documents to prove that your access to a third party network or system is authorized.

Any account that is found to be compromised can be disabled and / or terminated. If you do not clean your account after being notified by SpiderHoster of an ongoing broadcast, we reserve the right to keep your account deactivated. At your request, SpiderHoster can clean your account for an additional charge.

Phishing:

This activity of defrauding an online account holder of financial information by posing as a legitimate business, by creating replicas of commercial websites, is a prohibited criminal activity on spiderhoster.com. All accounts reported in a state of phishing exercise will be immediately suspended and a notice will be sent to the owner of the account for rectification, within 24 hours. Any free accounts reported as being phishing will be deleted immediately without notice.

Any account suspended for violation of our Terms and Conditions and not having rectified its situation within 24 hours will be terminated without notice and without any refund from Spiderhoster.

Any account configured for annual renewal, having been at least once the subject of an account suspension for non-compliance with our conditions of use and not having expressed the wish for an account termination before the date of renewal is not eligible for a refund. Spiderhoster reserves the right to terminate its account without notice.

HIPAA Disclaimer.

We are not “HIPAA (as of yet). You are solely responsible for any applicable compliance with federal or provincial laws relating to the privacy and security of personal data, including sensitive medical or other data. You acknowledge that the Services may not be appropriate for storing or controlling access to sensitive data, such as information about children or medical or health information. SpiderHoster cannot control or monitor any information or data that you store, or that you transmit through the Services. We expressly disclaim any representation or warranty that the Services, as offered, comply with the Federal Health Insurance Portability and Portability Act (“HIPAA”). Customers requiring secure storage of “protected health information” within the meaning of HIPAA are expressly prohibited from using the services for such purposes. Storing and allowing access to “protected health information” constitutes a material violation of this Agreement, and of the grounds for immediate termination of the account. We do not sign “business associate agreements” and you agree that SpiderHoster is not a business associate or subcontractor or agent of yours, pursuant to HIPAA law. If you have any questions about the security of your data, you should contact feedback@spiderhoster.com. Compatibility with the Services You agree to cooperate fully with SpiderHoster in the provision of SpiderHoster’s services. It is your sole responsibility to provide any equipment or software that may be necessary for your use of the Services. To the extent that the performance of any of our obligations under this Agreement may depend on your performance of your obligations, SpiderHoster is not responsible for delays due to your inability to timely perform your obligations. You are solely responsible for ensuring that all user and web user content is compatible with the hardware and software used by SpiderHoster to provide the services, which may be modified by SpiderHoster from time to time to our entire discretion. You are solely responsible for safeguarding all User Content, including, but not limited to, all user sites.

Invoicing and sales conditions

Prepayment.

It is your responsibility to ensure that your payment information is up to date, and that all invoices are paid on time. You agree to pay for the Services in advance of the period of time in which the Services are provided. Subject to applicable laws, rules and regulations, payments received will be applied to the oldest outstanding invoice in your first billing account. Automatic renewal. Unless otherwise provided, you agree that until and unless you notify SpiderHoster of your desire to cancel the Services, you will be billed on an automatic recurring basis to avoid any disruption to your services, by using your credit card or d ‘other billing information that you have provided. Taxes.

Charges for the services shown do not include sales, usage, income, excise or other taxes imposed by a tax authority. All applicable taxes will be added to SpiderHoster’s invoice as a separate charge to be paid by you. All charges are non-refundable when paid, unless otherwise specified.

Late payment.

All invoices must be paid within ten (10) days of the invoice due date. Any invoice that has been outstanding for more than ten (10) days may result in the suspension or termination of services. Access to the account will not be restored until payment has been received. If you fail to pay the charges as stated, SpiderHoster may suspend or terminate your account and pursue the collection costs incurred by SpiderHoster, including, without limitation, arbitration and legal costs and reasonable fees of lawyer. SpiderHoster will not be able to activate new orders or activate new plans for customers who have an outstanding balance on their account. Dedicated servers are likely to be refurbished and all content removed if you fail to make a timely payment. If you make a late payment, we do not automatically reactivate the dedicated servers. Contact SpiderHoster directly after making a late payment in order to reactivate the dedicated server. Domain payments. It is only your responsibility to notify SpiderHoster Billing Department via a support ticket created from https://spiderhoster.com/portail/submitticket.php after purchasing a domain. domain renewal notices are provided as a courtesy reminder and SpiderHoster is not responsible for non-renewal of a domain or failure to notify a customer about renewal of a domain.

Fraud.

It is a violation of this agreement for you to abuse or fraudulently use credit cards, charge cards, electronic funds transfers, electronic checks, or any other method of payment. SpiderHoster may report any misuse or fraudulent use, as determined in SpiderHoster’s sole discretion, to government and law enforcement authorities, credit reporting services, financial institutions and / or credit card companies.

Billing disputes.

You have ninety (90) days to dispute any charge or payment processed by SpiderHoster. If you have questions regarding a charge on your account, our billing service directly will help.

Satisfied or refunded

(For now, Spiderhoster only offers a shared hosting service, but this point concerns in advance, any hosting services that spiderhoster might offer at any time.)

Dedicated servers.

No refund on dedicated servers. The forty-five (45) day money back guarantee does not apply to dedicated servers. Mutualized, VPS and reseller services. SpiderHoster offers a forty-five (45) day money back guarantee for shared servers, VPS, and reseller hosting services only. Subject to the conditions described in Article 13 below, if you are not completely satisfied with these hosting services and want to terminate your account within forty-five (45) days of signing up for the Services , you will receive a full refund of the amount paid for accommodation. This money back guarantee only applies to charges paid for hosting services and does not apply to administrative charges, installation charges for custom software or other installation charges, or charges for any other additional services. Cancellations and refunds

Payment method.

No refund will be given if you use any of the following payment methods: bank transfers, Western Union payments, checks and money orders. If you use any of these payment methods, an applicable credit will be displayed on your hosting account instead of a refund.

Money back guarantee.

If an account with a forty-five (45) day money back guarantee is purchased and then canceled within the first forty-five (45) days of the start of the period (the “Money Back Guarantee Period”), you must send a written request to the SpiderHoster Support Team (the “Refund Request”) within ninety (90) days of termination or cancellation (“Notice Period”), to receive a full refund of the Base shared, VPS and reseller hosting charges previously paid by you to SpiderHoster for the initial period (“Money Back Guarantee, Money Back Guarantee”); provided that this money back guarantee is due to you only for your compliance with and subject in all respects to the terms and conditions of this Section 13. Requests for such refunds should be made in writing to the SpiderHoster support team. Refunds will only be issued for shared basis, VPS and reseller hosting services and will not include administrative fees, installation fees for custom software or other installation fees, nor will they include fees for custom software. other additional services. Refund Guarantee Refunds will not accrue, and should not be paid under any circumstances, if you do not provide the applicable refund request within the notice period. Eligibility refund. Only first-time accounts are eligible for a refund. For example, if you have had an account with us before, canceled and re-signed, or if you have opened a second account with us, you will not be eligible for a refund. violations of this agreement will waive your rights under the refund policy.

Non-refundable products and services.

No refunds on dedicated servers, administrative fees and installation fees for custom software. Please note that domain refunds will only be considered if the domain name was ordered with a hosting package and will be released at SpiderHoster’s sole discretion. Refunds issued for domain names will be reduced by the market value of the gTLD. CcTLD purchases are not refundable.

Cancellation process.

You may terminate or cancel the Services by giving written notice to SpiderHoster via the removal module provided. In such event: (i) you will be obligated to pay all fees and charges payable prior to the effectiveness of such cancellation and (ii) SpiderHoster may, at our sole discretion, reimburse all prepaid charges for services basic accommodation for the full months remaining after the effectiveness of such cancellation (no partial month fees will be refunded), less installation costs, applicable taxes and any reduction applied for prepayment, provided that you are not in violation of this Agreement. Once we receive your cancellation form and have confirmed all the necessary information with you via email, we will notify you in writing (usually email) that your account has been canceled. Your cancellation confirmation will contain a ticket / tracking number in the subject line for your reference and verification purposes. You should immediately receive an automatic e-mail with a tracking number stating that “Your request has been received…. SpiderHoster will confirm your request and process your cancellation shortly thereafter. If you do not intend to return to us, or do not receive the automatic confirmation email within minutes of submitting your cancellation form, please contact us immediately by phone. We need all cancellations to be made through the online form in order to (a) confirm your identity, (b) confirm in writing that you are ready for all of your files and emails to be deleted, and (c) the request document. This process is intended to reduce the risk of errors, fraudulent / malicious requests, and to ensure that you are aware that your files, emails, and account can be removed immediately and permanently following a cancellation request. is processed.

Cancellations for shared and reseller accounts will be effective on the renewal date of the account. Cancellations for Dedicated Accounts and VPS will be effective immediately.

Areas.

Foreign currency.

Currency fluctuations for international payments are constant and inevitable. All refunds are processed in US dollars and reflect the exchange rate in effect on the date of the refund. All refunds are subject to this fluctuation and SpiderHoster is not responsible for any changes in exchange rates between the time of payment and the refund period.

Termination

SpiderHoster may terminate your access to the Services, in whole or in part, without notice if: (i) you fail to pay the fees due; (Ii) you breach this Agreement; (Iii) your conduct may harm SpiderHoster or others or cause SpiderHoster or other liability, as determined by SpiderHoster in our sole discretion; or (iv) otherwise stated in this Agreement. In such event, SpiderHoster shall not reimburse you for all taxes paid in advance of such termination, and you will be required to pay all fees and charges payable prior to the effectiveness of such termination. In addition, SpiderHoster may charge you for any charges due for the Services for the remaining portion of the current period. TIME OF TERMINATION OF SERVICES FOR ANY REASON, USER CONTENT, USAGE SITES AND OTHER DATA WILL BE DELETED. CPU, bandwidth and disk usage Allowed CPU and disk usage. Any use of the hosting space provided by SpiderHoster is subject to the provisions of this Agreement and the Acceptable Use Policy. i. Shared hosting space can only be used for web files, active email and user website content. Shared hosting space cannot be used for storage (be it media, email, or other data) including, offsite storage of electronic files, email or FTP hosts. SpiderHoster expressly reserves the right to review all shared accounts for excessive CPU usage, disk space and other resources that may be caused by a violation of this Agreement or the Acceptable Use Policy. SpiderHoster may, in our sole discretion, terminate access to the Services, apply additional charges, or remove or delete User Content for accounts that are found to be in violation of SpiderHoster’s terms and conditions. ii. Dedicated VPS and usage is limited by the resources allocated to the specific plan you purchased. or remove or delete User Content for accounts that are found to be in violation of SpiderHoster’s terms and conditions. ii. Dedicated VPS and usage is limited by the resources allocated to the specific plan you purchased. or remove or delete User Content for accounts that are found to be in violation of SpiderHoster’s terms and conditions. ii. Dedicated VPS and usage is limited by the resources allocated to the specific plan you purchased.

Bandwidth Usage.

Shared servers are not limited in their bandwidth allocation. Unlimited bandwidth usage is not available for Resellers, Dedicated Servers or VPS, which are subject to the terms of the plan you purchased and can be viewed in your control panel.

Guaranteed availability.

If your shared server or reseller has physical downtime that is far from the 99.9% uptime guarantee, you may receive one (1) month of credit on your account. This uptime guarantee does not apply to scheduled maintenance. Credit approval is at the sole discretion of SpiderHoster and may depend on the justification provided. Reports of third-party monitoring services cannot be used to substantiate due to a variety of factors including availability of network / transit capabilities of the screen. Server availability is defined as the availability reported by the operating system and the Apache web server which may differ from the availability reported by other individual services. To apply for credit, please visit https: // spiderhoster. com / portal / submitticket.php to create a support ticket to our billing department with a justification. uptime guarantees only apply to shared and reseller solutions. Dedicated servers are covered by a network guarantee in which the credit is prorated to the amount of time the server is down which is unrelated to our uptime guarantee.

Reseller Terms and Customer Liability

Resellers ensure that each of their customers complies with this Agreement. Resellers are responsible for supporting their customers. SpiderHoster does not provide support for customers of SpiderHoster resellers. If contacts with customers of a SpiderHoster reseller, SpiderHoster reserves the right to place a reseller customer account on hold until the reseller can take responsibility for its reseller customer. All support requests should be made by the reseller on behalf of their customer for security reasons. Resellers are also responsible for all content stored or transmitted under their reseller account and the actions of their customers. SpiderHoster will hold any reseller liable for any actions of its customer that violate the law or this Agreement.

SpiderHoster is not responsible for the acts or omissions of our resellers. Reseller agrees to indemnify SpiderHoster from and against all claims made by any user arising from reseller’s acts or omissions.

SpiderHoster reserves the right to revise our reseller program at any time. Changes are effective when posted online or at such later date as may be set forth by SpiderHoster. Resellers in the SpiderHoster Reseller Program assume all responsibility for billing and technical support for each user signed by the Reseller. (Non-Reseller Accounts) Shared Shared accounts cannot be used to resell web hosting to others. If you want to resell hosting, you must use a reseller account.

Dedicated servers

SpiderHoster reserves the right to reset the password on a dedicated server if the password on file is not current so that we can perform security checks as required by our data center. It is your responsibility to ensure that there is a valid email address and current root password in your dedicated server folder to avoid forced password reset interrupts. SpiderHoster reserves the right to check and server as necessary to perform administrative actions at the request of our data center. Dedicated servers are not backed up by us. It is your responsibility to maintain backups. Dedicated servers that have unpaid invoices for more than ten (10) days may be subject to deletion which will result in the loss of all data on the server. SpiderHoster will not be responsible for any loss of data resulting from this deletion.

Price change

SpiderHoster reserves the right to change prices, monthly payment amount, or any other charges at any time. We will provide you with at least thirty (30) days notice of loading prior to any price change. It is your responsibility to periodically review the billing information provided by SpiderHoster through the User Billing Tool or other methods of communication, including notices sent or posted by SpiderHoster.

Coupons

Discounts and promo codes are for first-time accounts or first-time customers only and cannot be used towards the purchase of a domain name registration unless otherwise specified. If you have already registered using a particular domain, you cannot register again for that domain using another coupon at a later date. Any account found in violation of these policies will be reviewed by our sales department and the appropriate charges will be added to the account. Coupon abuse will not be tolerated and may result in the suspension or termination of your account. All coupons and discounts are valid on initial purchase only and do not affect renewal or recurring price.

Limitation of Liability

IN NO EVENT SHALL SpiderHoster, ITS ADMINISTRATORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING ANY LOST PROFITS OR SERVICES FROM YOUR USE OF THE OR ANY USER CONTENT, USAGE SITES, OR OTHER MATERIAL VIEWED OR DOWNLOADED WITH SERVICES, EVEN IF SpiderHoster IS AWARE OF OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANY STATEMENT TO THE CONFLICT HEREIN, THE LIABILITY OF SpiderHoster TO YOU OR A THIRD PARTY REPRESENTED BY YOU, FOR ANY CAUSE, AND WHATEVER THE FORM OF ACTION IS LIMITED TO THE AMOUNT PAID, IF ANY, YOU SpiderHoster FOR THE SERVICES WITHIN THREE (3) MONTHS BEFORE THE INITIAL ACTION GIVING RESPONSIBILITY.

Compensation

You agree to indemnify, defend and hold harmless SpiderHoster, our affiliates and their directors, officers, employees and agents (each an “Indemnified Party” and, collectively, the “Indemnified Parties”) from and against all claims, damages, losses , lawsuits, actions, claims, proceedings (legal or administrative), and expenses (including, but not limited to, reasonable attorney fees) threatened, asserted, or filed by a third party against any of the parties indemnified arising out of or related to (i) your use of the Services, (ii) any breach or violation by you of this Agreement; or (iii) acts or omissions on your part. The terms of this section will survive termination of this Agreement.

Arbitrage

By using the Services, you submit to the exclusive jurisdiction of the Trubunal de Libreville in connection with any dispute relating to, relating to or arising from this Agreement. The arbitration will be conducted before a single arbitrator chosen by SpiderHoster and will take place at the location chosen by SpiderHoster in Libreville. The payment of all deposits, administrative and arbitrator fees will be governed by the legal rules in force, unless otherwise specified in this paragraph. In the event that you are able to demonstrate that the costs of arbitration will be prohibitive in relation to the costs of the dispute, SpiderHoster will pay as much of your filing, administrative, and arbitrator’s fees in connection with the arbitration as the The arbitrator deems it necessary to prevent the arbitration from being prohibitive. All decisions rendered by the arbitrator will be binding and final. The arbitrator’s decision is final and binding on all parties. The arbitrator’s authority to settle and make written awards is limited to claims between you and SpiderHoster alone. Claims cannot be joined or consolidated without the written consent of all parties. No arbitration award or decision will have an exclusionary effect on questions or claims in the event of a dispute with someone who is not a named party to the arbitration. If you initiate litigation or other proceedings against SpiderHoster in violation of this paragraph, you agree to pay Spiderhoster’s reasonable costs and attorney’s fees incurred in connection with our enforcement of this paragraph. Independent Contractor SpiderHoster and User are independent contractors and nothing in this Agreement puts SpiderHoster and User in the relationship of principal and agent, partners or joint venture partners. Neither party has, explicitly or implied, or can represent itself as having the authority to enter into contracts or enter into agreements on behalf of the other party, or no longer bind the other party in any way.

Law; Jurisdiction

Any dispute or claim arising out of or relating to this Agreement, the formation of this Agreement or the breach of this Agreement, including any claim based on alleged tort, shall be governed by the substantive laws of the State of Texas. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Contract.

Disclaimer

SpiderHoster will not be responsible for any damages that your business may suffer. SpiderHoster makes no warranty of any kind, express or implied, for the services. SpiderHoster disclaims all warranties of merchantability or fitness for a particular purpose, including loss of data resulting from delays, delivery failures, improper deliveries, and any and all service interruptions caused by SpiderHoster or our employees. Backups and Data Loss Your use of the Services is at your sole risk. SpiderHoster’s backup service runs once a week and replaces one of our previous backups. Only one week of backups are kept at a time. This service is provided only to shared and free reseller accounts and may be changed or terminated at any time in SpiderHoster’s sole discretion. SpiderHoster does not keep backups of dedicated accounts. SpiderHoster is not responsible for files and / or data residing on your account. You agree to take full responsibility for all files and data transferred and to maintain all appropriate file backups and data stored on SpiderHoster’s servers. Any shared account using more than 20 GB of disk space will be removed from our weekly backup site except for continued databases to be backed up.

Limited warranty

THE SERVICES PROVIDED UNDER THIS AGREEMENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSED IN THIS ARTICLE, SPIDERHOSTER AND OUR AFFILIATES, EMPLOYEES, AGENTS, SUPPLIERS AND DISCLAIM ALL WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, FOR THE SERVICES PROVIDED BELOW. SPIDERHOSTER AND OUR AFFILIATES, EMPLOYEES, AGENTS, SUPPLIERS AND MAKE NO REPRESENTATIONS OR WARRANTIES (I) THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FULLY SECURE; (II) AS TO THE RESULTS THAT MAY BE OBTAINED BY THE USE OF THE SERVICES; OR (III) AS TO THE RELIABILITY OR CONTENT OF THE INFORMATION PROVIDED BY THE SERVICES. SPIDERHOSTER AND OUR AFFILIATES, EMPLOYEES, AGENTS, SUPPLIERS AND ARE NOT RESPONSIBLE, AND EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR THE CONTENT OF ANY DATA TRANSFERRED FROM OR TO USERS OR COLLECTED BY USERS OF OR THROUGH THE SERVICES. THE TERMS OF THIS SECTION SHALL SURVIVE TERMINATION OF THIS AGREEMENT.

Law enforcement disclosure

SpiderHoster may disclose User Information to law enforcement agencies without further consent or notification to User upon lawful request from such agencies. We fully cooperate with law enforcement agencies.

Entire Agreement.

This Agreement, including the documents incorporated by reference, supersedes all prior discussions, negotiations and agreements between the parties relating to the subject matter hereof, and this Agreement constitutes the sole agreement and understanding between the parties in this which relates to the covered issues present.

Headings.

The headings are provided for information only and do not form part of this Agreement. Changes to the Agreement or the Services SpiderHoster may modify, add, or remove portions of this Agreement at any time. If we have made any material changes to this Agreement, we will post a notice on the SpiderHoster site for at least thirty (30) days after the changes are posted and we will indicate at the bottom of this Agreement the date of the last revision. Any revision of this agreement will come into force upon publication, unless otherwise provided. You agree to any modification to this Agreement by continuing to use the Services after such modification takes effect. SpiderHoster reserves the right to modify, change, or discontinue any aspect of the Services at any time. Severability If any provision or part of any provision of this Agreement is held to be illegal, invalid or unenforceable by a court of competent jurisdiction, the other provisions or parts (unless otherwise specified) thereof shall remain in full force and effect. Waiver of failure or delay by you or by SpiderHoster to exercise any right or remedy shall function as a waiver thereof, no single or partial exercise of any right or remedy to prevent any further exercise of any right or remedy. No express waiver, or sanction of any breach or default in any term of this decision shall constitute a waiver, or sanction,

Assignment; Successors

You may not assign or transfer this Agreement or your rights or obligations without the prior written consent of SpiderHoster. Any attempted assignment in violation of this agreement is null and void and has no effect whatsoever. SpiderHoster may assign our rights and obligations under this Agreement, and may engage subcontractors or agents in the performance of our duties and our below human, without the consent of the user. This agreement is binding and is in effect for the benefit of the parties hereto and their respective successors and assigns.

Force Majeure

Neither party is liable for any default or delay in the performance of any of its obligations under this Agreement (except default of payment when due) if such default or delay is due, directly or indirectly, by forces beyond this part of reasonable control, including, without limitation, fire, flood, acts of God, labor disputes, accidents, acts of war or terrorism, transportation disruptions or communication, supply shortages or the failure of a third party to fulfill a commitment with respect to the production or delivery of any equipment or materials necessary for that party to fulfill its obligations hereunder.

Third party beneficiaries

Unless expressly provided otherwise in this Agreement, nothing in this Agreement is intended, nor anything shall be construed herein to confer any rights on any person other than the parties hereto and their respective successors and assigns. Notwithstanding the foregoing, the user acknowledges and agrees that any provider of a third party product or service that is identified as a third party beneficiary in the description of the service, is a third party intended beneficiary of the provisions set out in this Agreement as they carry specifically about its products or services and have the right to directly enforce the terms and conditions of this Agreement in respect of its products or services against the user as if it were a party to this Agreement.
